Staffed Terms of Use and End-User License Agreement (EULA)

These Terms of Use and End-User License Agreement ("Terms") govern your access to and use of the Staffed website, mobile application, and related services (collectively, the "Service"), provided by Tran Institute of Technology ("Staffed," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

3. The Service and Important Disclosures

3.1 AI-Generated Drafts (Not Automatic Sending)

The Service provides AI-generated draft responses and related assistance features. Staffed does not automatically send messages. You are responsible for reviewing, editing, approving, and sending any message or content.

3.2 No Professional Advice

The Service may generate content that resembles advice. The Service is provided for informational purposes only and is not legal, medical, financial, or other professional advice.

3.3 Accuracy and Human-in-the-Loop

AI output may be inaccurate, incomplete, misleading, or inappropriate ("hallucinations"). You agree that:

  • (a) you will review and verify outputs before using or sending them; and
  • (b) you bear sole responsibility for communications you send, actions you take, and outcomes resulting from your use of the Service.

4. Accounts and Security

You may be required to create an account. You agree to provide accurate information, keep credentials confidential, and notify us promptly of unauthorized access. You are responsible for all activity under your account.

5. Acceptable Use

You agree not to use the Service to:

  • violate any law, regulation, or third-party rights;
  • generate or distribute unlawful, defamatory, harassing, abusive, hateful, exploitative, or fraudulent content;
  • send spam, phishing, or deceptive communications;
  • interfere with or disrupt the Service (including via malware, automated abuse, or attempts to bypass rate limits);
  • reverse engineer, decompile, or attempt to extract source code except where prohibited by law; or
  • use the Service in a way that could reasonably be expected to cause harm to others.

We may suspend or terminate access if we reasonably believe you violated these Terms, are creating risk to others, or are misusing the Service.

6. User Content: Inputs, Outputs, and Knowledge Base

6.1 Definitions

"Inputs" include the text, images, screenshots, documents (PDFs, etc.), instructions, and other materials you provide to the Service (including content you copy/paste and choose to process).

"Outputs" include drafts and other content generated by the Service based on your Inputs.

6.2 Your Rights and Responsibilities for Inputs

You represent and warrant that you have the necessary rights to provide your Inputs and that doing so does not violate law or third-party rights (including privacy and confidentiality obligations). You are responsible for ensuring you have permission to process customer conversations or screenshots.

You agree not to submit highly sensitive personal data (such as health information, financial account numbers, or government IDs) unless you have a lawful basis and it is necessary for your intended use.

6.3 License to Process Inputs

You retain ownership of your Inputs. You grant Staffed a limited, non-exclusive license to host, store, reproduce, and process Inputs solely to provide, maintain, and secure the Service for you (for example, indexing your uploaded document to answer a question you request).

6.4 Outputs

As between you and Staffed, and to the extent permitted by law, you own your Outputs. However:

  • Outputs may be similar to content generated for other users and may not be unique.
  • Staffed does not represent or warrant that Outputs are original or non-infringing.
  • You are responsible for reviewing Outputs before use or sending.

6.5 Knowledge Base Isolation / Model Training

Your proprietary account knowledge base remains logically isolated to your account context. We do not use your proprietary knowledge base content to train global/public AI models. (This does not restrict our use of aggregated or de-identified operational metrics necessary to run and secure the Service.)

7. Intellectual Property

The Service, including software, designs, and logos, is owned by Staffed and its licensors and is protected by law. Subject to these Terms, Staffed grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.

7.1 Feedback

If you provide suggestions or feedback, you grant Staffed a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation.

8. Third-Party Services

The Service may integrate with or rely on third-party services (for example, hosting, analytics, or AI infrastructure). Third-party services may be governed by their own terms, and Staffed is not responsible for third-party services.

9. Apple App Store Provisions (iOS Users)

If you downloaded the app via Apple's App Store, the following terms apply:

  • Acknowledgment: These Terms are between you and Staffed only, not Apple. Staffed, not Apple, is solely responsible for the Service and the content thereof.
  • Scope of License: The license granted to you is a non-transferable license to use the Service on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
  • Maintenance and Support: Apple has no obligation to furnish maintenance and support services with respect to the Service. Staffed is solely responsible for any maintenance and support Staffed provides.
  • Warranty: In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app (if any) to you. To the maximum extent permitted by law, Apple will have no other warranty obligation.
  • Product Claims: Staffed, not Apple, is responsible for addressing any claims by you or any third party relating to the Service, including product liability, regulatory compliance, and consumer protection claims.
  • Intellectual Property Claims: In the event of any third-party claim that the Service infringes intellectual property rights, Staffed, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • Third-Party Beneficiary: Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.

10. Plans, Billing, and Cancellations

Some features may require payment.

10.1 App Store Subscriptions (iOS)

If you purchase a subscription through Apple:

  • payment will be charged to your Apple ID account at confirmation of purchase;
  • subscriptions auto-renew unless auto-renew is turned off at least 24 hours before the end of the current period;
  • you can manage/cancel in App Store account settings; and
  • any unused portion of a free trial (if offered) is forfeited upon purchase, where applicable.

10.2 Changes

We may change pricing, plans, or features. If changes affect you materially, we will provide notice as required by law.

10.3 Taxes

You are responsible for any applicable taxes related to your purchase or use of the Service.

11. Beta Features

Beta, preview, or experimental features are provided "as is," may change or be discontinued, and may be less reliable.

12. Privacy

Our collection and use of personal data is described in our Privacy Policy.

13. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your license to use the Service ends and you must stop using it.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." STAFFED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.

Some jurisdictions do not allow certain disclaimers; in those jurisdictions, disclaimers apply only to the fullest extent permitted by law.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAFFED WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

IN ALL CASES, STAFFED'S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO STAFFED FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

16. Indemnification

You agree to indemnify and hold harmless Staffed from claims arising out of your Inputs, your use of the Service, Outputs you use or send, or your violation of these Terms or law.

17. Export Compliance

You may not use or export the Service except as authorized by United States law and the laws of the jurisdiction in which the Service was obtained or is used.

18. Governing Law and Venue

These Terms are governed by Delaware law, excluding conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to jurisdiction and venue there.

19. Changes to These Terms

We may update these Terms from time to time. Continued use after the effective date of revised Terms means you accept the revised Terms.

20. Miscellaneous

These Terms are the entire agreement between you and Staffed regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
